Management

The Golden Predator Management Team possesses over 150 years of collective industry experience and has been extremely successful in all phases of mine development, including financing, property identification, exploration, resource definition and permitting. Drawing much of its strength from the management team established at Energy Metals Corporation, the group has a track record of working together to generate wealth from mineral property development.

Chairman & Chief Executive Officer
Mr. Sheriff has over 30 years experience in the mineral exploration and development business and is the driving force behind the founding of Golden Predator Corp. Mr. Sheriff also serves as the Chairman of Copper Ridge Explorations Inc. and Silver Predator Corp. and as a Director of Western Lithium Corporation.
Mr. Sheriff co-founded and served as Director and Chairman of Energy Metals Corporation, formerly a public company listed on the NYSE Arca and the TSX which was acquired by Uranium One for $1.8 billion in 2007. He has previously served on the Board of Directors of Evolving Gold Corp., Quincy Gold Corp., Midway Gold Corp., Eurasian Minerals Inc. and Uranium One Inc.
As the founder and past-President of Platoro West Inc, a private company, he was widely acknowledged to be a leading precious metals prospect developer in the Western United States; in addition he amassed the largest uranium resource package ever in the United States. Mr. Sheriff also compiled and currently owns one of the largest privately-held mining databases in the world.
Mr. Sheriff has held various positions within the securities industry for A.G. Edwards & Sons Inc., Mitchum Jones & Templeton Inc. and for his own securities investment firm. He previously held various securities registrations including Series 3, Series 4, Series 7, Series 8 and Series 63 in addition to having been a registered investment advisor in the United States.
To date Mr. Sheriff has raised in excess of $130 million for projects under his leadership.
Mr. Sheriff received his B.Sc. in Geology from Fort Lewis College, Colorado and conducted graduate studies at the University of Texas-El Paso in Mining Geology and Mineral Economics.

President
Mr. Legg joined the Company in May, 2009 and was appointed President in October. Mr. Legg has 15 years experience with public resource companies: from 1994 through 2006 Mr. Legg was a securities lawyer in private practice, advising companies in natural resources, securities and corporate finance law, and from 2007 to 2009 Mr. Legg was Executive Vice-President of a private mining company operating in Mexico. Mr. Legg also serves as a director of Copper Ridge Explorations Inc. and Platoro West Holdings Inc. Mr. Legg holds a BA from the University of British Columbia and an LLB from Dalhousie Law School.

Chief Financial Officer
Michael O'Brien brings more than 25 years of experience to the Company's financial management and regulatory compliance team. Since 2006 Mr. O'Brien served as Chief Financial Officer of Africo Resources Ltd. a TSX-Listed mineral exploration and development company with operations in the Democratic Republic of the Congo. Prior to this Mr. O'Brien served as Chief Financial Officer of Irvin & Johnson Ltd., an international fishing and seafood processing company, and as Manager of Finance of Soekor Exploration and Production (Pty) Ltd. (now part of PetroSA,).
Mr. O'Brien qualified as a Chartered accountant in South Africa in 1986, and has been a member of the Canadian Institute of Chartered Accountants since 1991.

| | | Mr. Clifford Nelson Jr., BSc Metallurgy
Vice President Operations
Coming to Golden Predator with over 25 years of metallurgical experience, Mr. Nelson's vast experience includes metallurgy, operations management, start-up, design and optimization with offshore, open pit and underground mines. He has worked with Cleveland Cliffs, Inspiration Resources, West Gold, Magma Copper, BHP and St. Andrew Goldfields. Most recently, he was the General Manager of the Springer Complex for Golden Predator Mines and oversaw the construction and rehabilitation of the company's Springer tungsten project near Winnemucca, NV. He previously was responsible for the rehabilitation, operation and optimization of world's largest offshore gold dredge, Bima, in the Bering Sea off the coast of Alaska. He also rehabilitated the Nixon Fork Operation outside of McGrath, Alaska and put into operation the fly in, underground gold Nixon Fork Mine.

| | | Mr. Travis Schwertfeger, BSc, MAIG
Vice-President, Exploration (US)
Mr. Schwertfeger joined the Golden Predator in October 2007 and has over 12 years in both production and exploration experience from previous work with Newmont Mining Corporation and Hecla Mining Company. Mr. Schwertfeger has worked in a variety of geological settings and styles of gold mineralization across Nevada, Western Australia, and West Africa and is a graduate of the Colorado School of Mines with a BSc in Geological Engineering. As Vice-President, Mr. Schwertfeger will be instrumental in identifying and developing properties in the United States capable of providing high grade ore for the Golden Predator's proposed modular mill in Nevada.

| | | Mr. Corwin (Cor) Coe, A.Sc.T., B.Sc., P.Geo.
Vice President, Exploration (Canada)
Mr. Coe has over 30 years' experience in the minerals industry including 18 years of senior officer experience of public junior mining companies and more than 25 years experience in gold and silver mineral exploration, development and production in North America.
A seasoned Yukon explorationist, Mr. Coe joined the Company in 2010 having most recently served as Vice-President Exploration for Northern Freegold Resources Ltd. During this time he played an integral role in the delineation of a (greater than) 1.0 million ounce gold deposit at its Freegold Mountain property, located within the prolific Tintina Gold Belt in Yukon.
Mr. Coe is a Professional Geologist and Mining Engineering Technologist. He graduated from Simon Fraser University with a Bachelor of Science degree in Earth Sciences and the British Columbia Institute of Technology with a Diploma in Mining Engineering Technology. He is a member of the Association of Professional Engineers and Geoscientists of British Columbia and the Association of Applied Science Technologists and Technicians of British Columbia.
As Vice-President Exploration (Canada), Mr. Coe is based in the Vancouver and Whitehorse offices and is leading the team in aggressively advancing the Company's Yukon exploration projects.

Vice President of Lands
Mr. Devenyns has been with Golden Predator Mines since 2007 joining the company with over 30 years experience in business development and mineral land management in the precious metals, coal and uranium exploration/mining industry. In addition to prospect generation and consulting for numerous major mining companies, he has worked with Santa Fe Pacific Minerals Corporation, and held the position of Vice President Lands and Corporate Development for Romarco Minerals Inc. as well as Metallic Ventures Gold Inc.
Mr. Devenyns has a B.A in Geology and Business Administration from Western State College, Colorado and participated in Santa Fe Industries Business and Economic Management Studies at the Graduate School of Business Administration, University of Southern California.

Vice President - Corporate Affairs
Mrs. Lee-Sheriff has 20 years experience both in the public and private sectors. Mrs. Lee-Sheriff managed Cabinet Policy and Intergovernmental Affairs for three successive governments in the Yukon Territory, Canada, and has also worked with numerous resource companies and aboriginal governments. Most recently Mrs. Lee-Sheriff was instrumental in developing and implementing the Yukon Mine Training Association, securing over $10 million for aboriginal training in the Yukon and Northern British Columbia. Mrs. Lee-Sheriff holds a BA in economics from Queen's University in Kingston, Ontario.
